These Terms & Conditions ("Terms") govern access to and use of the Gridline operations portal, the member portal, and related services (together, the "Services") provided by Gridline AI, PBC.. By accessing the Services you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization, and a separate written agreement between Gridline AI, PBC. and the organization prevails over these Terms where they conflict.

1. The Services

Gridline provides workflow automation for energy operations, including billing for energy communities, invoice generation, and integrations with third-party systems. The scope of features available to you depends on your organization's subscription and configuration.

2. Accounts and access

  • You must provide accurate information when requesting access and keep your credentials confidential.
  • You are responsible for all activity under your account. Notify us promptly of any suspected unauthorized use.
  • We may suspend access to protect the Services, other users, or data, and will inform affected organizations without undue delay.

3. Acceptable use

  • Do not use the Services in violation of applicable law or third-party rights.
  • Do not attempt to gain unauthorized access to data of other organizations or interfere with the operation of the Services.
  • Do not upload malicious code or use the Services to send unlawful or unsolicited communications.

4. Customer data and responsibilities

Organizations retain all rights to the data they submit to the Services, including member, billing, and energy data ("Customer Data"). The organization is responsible for the accuracy of Customer Data, for having a lawful basis to process it, and for reviewing generated invoices before approval where an approval step is configured. We process Customer Data as described in our Privacy Policy and applicable data processing agreements.

5. Third-party integrations

The Services can connect to third-party systems (for example Bexio, SolarManager, Zevvy, Google, PayPal) at your organization's direction. Your use of those systems is governed by their own terms. We are not responsible for third-party services, their availability, or the accuracy of data they provide.

6. Fees

Fees, billing periods, and payment terms are set out in the order form or agreement between Gridline AI, PBC. and your organization. Unless agreed otherwise, fees are exclusive of applicable taxes.

7. Intellectual property

The Services, including software, design, and documentation, are and remain the property of Gridline AI, PBC. or its licensors. We grant your organization a non-exclusive, non-transferable right to use the Services for its internal business purposes during the term of its agreement.

8. Availability and support

We aim to keep the Services available and will announce planned maintenance where reasonably possible. Unless a service level has been agreed in writing, the Services are provided without a guaranteed availability level.

9. Warranties and liability

The Services are provided "as is" to the extent permitted by law. We do not warrant that the Services will be error-free or uninterrupted. To the maximum extent permitted by law, our aggregate liability arising out of or related to the Services is limited to the fees paid by your organization for the Services in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for intent or gross negligence or any liability that cannot be excluded by law.

10. Termination

Your organization's agreement governs term and termination of the subscription. We may terminate or suspend individual access for material breach of these Terms. Upon termination, we will make Customer Data available for export for a reasonable period, after which it will be deleted in accordance with our retention practices and legal obligations.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the Services or by email with reasonable advance notice. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of Delaware, USA.
